IN ORDER TO PURCHASE A LICENSE ON YANO INFORMATION, YOU MUST CAREFULLY REVIEW THE FOLLOWING AGREEMENT, AND CLICK ON THE "AGREE & CHECK OUT" BUTTON TO INDICATE YOUR AGREEMENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT THEN YOU MAY NOT PROCEED FURTHER AND THE TRANSACTION WILL BE HALTED.
You acknowledge and agree that your License on YANO data is subject to any and all terms and conditions of this Agreement. YANO may revise portions of this Agreement at any time at its sole discretion.
All materials licensed through this website, including, but not limited to, YANO market reports, periodicals, journals, information, data and images, and any third party content, (collectively, the "Content") are owned or controlled by YANO or by the party credited as the provider of the Content. A Licensee shall abide by all notices of copyright or other intellectual property rights, information, or restrictions contained in any Content obtained through this website or otherwise. Without limiting the foregoing, a Licensee specifically acknowledges and agrees that all YANO information and data licensed through this website is subject to restrictions on Permissible Uses as described below.
Content is furnished only to convey the information therein contained, all of which, remain the property of YANO, in which YANO retains all rights (including, but not limited to, all copyrights). You will not (i) sublicense, lease, rent, lend, publish, or distribute the Content, in part or in whole, or otherwise incorporate the Content, or any portion thereof, in any Derivative Works; (ii) use, or permit or allow the use of, any Content, in any legal proceedings (including, but not limited to, any use in litigation and/or use with any governmental investigatory, regulatory or other body or authority). Your obligations under this Permissible Uses section are not changed in any way by the publication of any data, analyses and/or any of the information therein in any manner whatsoever by YANO or by others.
You may not copy all or any portion of the Media or Content except as necessary solely for archival purposes or to replace defective storage media. You also agree that you will not sublicense, lease, rent, lend, publish, transfer the possession of, or distribute the Media or Content in part or in whole to any third party without prior written approval duly signed and issued by an authorized representative of YANO.
The License is effective until terminated. You may terminate the License at any time by destroying the Media together with all copies and all intangible forms or copies of the Content. The License is automatically terminated if you violate any portion of this Agreement. You agree upon any such termination to destroy the Media together with all copies and all intangible forms or copies of the Content. Upon termination, there will be no refund of any monies paid. Termination of this License shall be in addition to and not in lieu of any other remedies which might available to YANO.
ALL YANO CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE." YANO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHER WISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER STATUTORY OR COMMON LAW WARRANTIES.
YANO shall not be liable, in contract or tort, for any loss, cost, expense, injury or damage of any kind, including, without limitation, any incidental or consequential damages (including, without limitation, lost profits and loss of or damage to goodwill), even if YANO is advised or has knowledge of the possibility thereof, directly or indirectly resulting from (i) YANO’s failure, for any reason, to furnish Content under this License Agreement; (ii) any errors, inaccuracies or omissions in any Content; (iii) any action or inaction, whether or not negligent, of YANO, or any person acting on behalf of YANO, in compiling or publishing any Content or from the use or publication of the same by you or others; or (iv) contingencies beyond YANO’s control. YANO’s entire liability to you and your exclusive remedy shall be the replacement of any defective Media returned by you to YANO with proof of license purchase during the 30-day limited warranty period, as set forth. IN NO EVENT SHALL THE LIABILITY OF YANO ARISING FROM YOUR USE OR INABILITY TO USE THE CONTENT EXCEED THE FEES PAID BY YOU FOR THIS LICENSE.
No waiver by either party of any breach of this Agreement by the other shall be a waiver of any preceding or subsequent breach thereof. If any provision of this License Agreement is deemed invalid by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted and the remainder will remain in full force. This License Agreement is the entire agreement between you and YANO in respect of the Content, the Media, and your use thereof.
THE INDIVIDUAL THAT ACCEPTS THIS AGREEMENT ON BEHALF OF ANY ENTITY AS ITS AUTHORIZED REPRESENTATIVE HAS READ AND UNDERSTOOD THE FOREGOING AGREEMENT AND AGREES THAT SUCH ENTITY WILL BE BOUND TO ALL OF THE ABOVE TERMS AND CONDITIONS.
